Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the services provided by Blue Whale Solutions (SMC-Private) Limited (“we,” “us,” or “our”). By accessing or using our services, including our APIs, platform, and website, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using any part of the Blue Whale Solutions platform — including but not limited to submitting a transaction, using our API services, registering as a merchant, or browsing our website — you agree to comply with and be legally bound by these Terms.
If you do not agree to these Terms, you may not use our services.

2. Definitions

Platform: The digital infrastructure and APIs operated by Blue Whale Solutions for providing payment gateway and financial technology services.

User: Any individual or entity using the Blue Whale Solutions platform, including customers and merchants.

Merchant: A business or individual that has registered with Blue Whale Solutions to use our API and platform services.

Customer: End users who interact with a merchant and whose transactions pass through Blue Whale Solutions.

Services: All services provided by Blue Whale Solutions, including but not limited to API access, payment processing, and merchant dashboard.

3. User Responsibilities

  • Users must provide accurate and complete information during registration and usage.

  • Users must not use Blue Whale Solutions’ services for any unlawful, fraudulent, or abusive purposes.

  • Merchants must adhere to all applicable laws and payment service guidelines when using the platform.

4. Platform Responsibilities

  • Blue Whale Solutions shall make reasonable efforts to maintain uptime and security of the platform.

  • Blue Whale Solutions will facilitate transaction routing, status updates, and refund mechanisms according to posted policies.

5. Limitation of Liability

To the fullest extent permitted by law, Blue Whale Solutions is not liable for:

  • Merchant delivery failures or service disputes;

  • Third-party failures (e.g., banks, wallets);

  • Indirect, incidental, punitive, or consequential damages.

Liability is limited to the transaction amount in question or PKR 10,000 — whichever is lower.

6. Termination of Access

We reserve the right to suspend or terminate access to our services at any time, with or without notice, for any reason, including violation of these Terms.

7. Force Majeure

Blue Whale Solutions shall not be held responsible for any failure or delay in service due to causes beyond our control, including but not limited to acts of God, natural disasters, internet outages, cyberattacks, or governmental restrictions.

8. Cookies & Tracking Policy

Blue Whale Solutions may use cookies, web beacons, and other tracking technologies to improve your browsing experience and analyze traffic.
By using our platform, you consent to the use of cookies as described below:

  • Essential Cookies: Required for platform functionality and security.

  • Performance Cookies: Help us understand platform usage and optimize performance.

  • Analytics Tools: We may use tools such as Google Analytics or Meta Pixel to monitor usage patterns and improve services.

9. API Usage Policy

This section applies to all merchants and developers using Blue Whale Solutions’ API services.

Permitted Use: APIs may only be used for legitimate, approved business operations as defined in your onboarding documents.

Fair Usage: Each API key has predefined TPS (Transactions Per Second) and daily quota limits. Abuse or circumvention is strictly prohibited.

Prohibited Activities: You must not use our APIs for:

  • Money laundering, terrorist financing, or any illegal purpose.

  • Unauthorized scraping, flooding, or probing the platform.

  • Redirecting funds to unapproved or unrelated accounts.

Security Obligations: Merchants are responsible for keeping API keys secure and must report any suspected breach immediately.

Suspension/Termination: Blue Whale Solutions reserves the right to throttle, suspend, or permanently revoke API access for any abuse or policy breach without prior notice.

Audit Rights: We reserve the right to audit API usage logs and activity for compliance and security purposes.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Pakistan.
Any dispute shall be subject to the exclusive jurisdiction of the courts located in Pakistan.

11. Amendments

We may amend these Terms from time to time. Users will be notified via platform notice or email.
Continued use of the service constitutes acceptance of the updated Terms.
